Over-the-counter securities are those that are traded outside of the formal exchange like NYSE, AMEX, and others. The phrase "over-the-counter" refers to those stocks, debt securities, derivatives and other financial instruments that are traded over a dealer network instead of a centralized exchange Over-the-counter, or unlisted stocks, are usually issued by small companies, and/or those who are not able to meet an exchange's listing requirements.
